Merger in tax law

In the event of a merger, a legal entity (transferring legal entity) transfers its entire assets to another existing or newly established legal entity (acquiring legal entity). The transferring legal entity expires. However, there is no liquidation. The shareholders of the transferring company receive company rights in the acquiring company. There are extensive merger options for corporations. For the tax effects see UmwStG.
